These Terms govern access to the Mineral Dealers Africa website, educational content, marketplace listings, inquiry forms, sourcing support, verification coordination and related digital services.
By using the website or submitting information, you agree to these Terms. Do not use the website when you do not accept them.
1. Acceptance of These Terms
These Terms form an agreement between you and Mineral Dealers Africa concerning your use of mineraldealersafrica.com and related website services that link to these Terms.
When you use the website for an organisation, you confirm that you have authority to act for that organisation. Additional written terms may apply to a specific consultancy, verification, sourcing, listing or transaction-support engagement.
2. The Role of Mineral Dealers Africa
Mineral Dealers Africa provides mineral sourcing, consultancy, marketplace, due-diligence coordination, testing coordination, export-preparation and transaction-support services.
Unless a written agreement expressly states otherwise, Mineral Dealers Africa is not:
- The owner or seller of every mineral shown on the website
- The buyer of every mineral submitted by a supplier
- A laboratory, refinery, insurer, bank, escrow provider, carrier or government authority
- A guarantor of mineral identity, grade, purity, quantity, title, licence status or export eligibility
- A financial adviser promising an investment return
The exact role in a transaction should be stated in writing before the parties rely on our involvement.
3. Eligibility and Authority
You must be legally able to use the website and enter relevant agreements. Commercial and marketplace features are intended for adults and authorised representatives.
You confirm that information you submit is accurate, that you are authorised to submit it and that doing so does not violate law, confidentiality, intellectual-property rights or another person’s rights.
4. Educational and General Information
Website content is general information. It may explain minerals, procedures, licences, testing, trade, investment, responsible sourcing and risk controls.
It is not a substitute for independent geological, metallurgical, gemological, legal, tax, customs, environmental, financial, insurance or investment advice.
Mineral-sector information can change. Verify current laws, licence status, market conditions, test methods and transaction facts before acting.
5. Marketplace Listings
The African Mineral Marketplace provides a moderated platform for displaying mineral opportunities and connecting possible buyers and suppliers.
We may approve, reject, edit for clarity, request supporting information, suspend, expire or remove a listing. We are not required to publish every submission or explain every moderation decision where doing so could create security, privacy or fraud risk.
A listing does not guarantee that the mineral is genuine, available, lawfully owned, correctly graded, correctly priced, licensed for trade or eligible for export.
6. User Content and Listing Licence
You retain rights you lawfully hold in photographs, descriptions and documents you submit. You grant Mineral Dealers Africa a non-exclusive, worldwide, royalty-free licence to host, review, reproduce, format, display and distribute the content as reasonably necessary to operate, promote and secure the website and marketplace.
You confirm that you own the content or have permission to use it. Do not submit copied product images, confidential reports, another company’s licence or personal information without authority.
We may redact sensitive information, add status labels or retain records for compliance, fraud prevention and dispute handling.
7. Prohibited Use
You must not use the website to:
- Offer stolen, unlawfully obtained, prohibited or misrepresented minerals
- Upload forged, altered, copied or unrelated licences, assays, invoices or export documents
- Make unsupported claims about mineral identity, purity, grade, reserves, quantity or ownership
- Operate an advance-fee, impersonation, phishing, money-laundering or other fraudulent scheme
- Expose private identity, bank, location or compliance information without authority
- Introduce malware, scrape the site unlawfully, interfere with security or misuse accounts
- Harass, threaten or discriminate against users, staff, suppliers or buyers
- Use the website in breach of sanctions, anti-corruption, anti-money-laundering or other applicable law
8. Verification Status and Review Labels
Status labels describe the limited review completed at a particular time. For example, “contact verified” does not verify the mineral, and “laboratory tested” does not prove that the entire stock matches the sample.
A licence or document review does not replace confirmation by the issuing authority and does not guarantee continuing validity after the review date.
Buyers and other users must perform independent due diligence appropriate to the transaction.
9. Buyer and Seller Transactions
Unless Mineral Dealers Africa signs a specific written agreement as a principal, transactions are made between the relevant buyer and seller.
The parties are responsible for agreeing:
- Identity, authority and legal capacity
- Product, lot, quantity, specification and testing procedure
- Price basis, charges, taxes and payment conditions
- Inspection, delivery, risk transfer, insurance and acceptance
- Licences, permits, customs and destination requirements
- Warranties, remedies, confidentiality, termination and disputes
Do not send substantial funds merely because a listing, document, photograph or introduction appears on the website.
10. Prices, Fees and Payments
Mineral prices depend on verified quality, quantity, form, location, processing, logistics, taxes, charges and market conditions. Website information is not a binding quotation unless clearly issued as such by an authorised party.
Any fee for testing, consultancy, listing, verification, logistics or another service should be disclosed before you accept that service.
The website does not currently promise regulated escrow or secure online settlement. Verify payment beneficiaries and changes independently.
11. Mineral Licensing, Source and Export Compliance
Users are responsible for complying with applicable mineral, company, tax, customs, environmental, land, labour, anti-corruption and trade requirements.
A company-registration certificate is not the same as a mineral right, dealer licence, processing licence, refining licence or export permit.
Export eligibility must be established for the particular mineral and consignment. Mineral Dealers Africa may coordinate document review but cannot grant government approval.
12. Third-Party Services and Links
The website may link to or coordinate with laboratories, refineries, logistics providers, insurers, banks, government portals, WhatsApp, hosting services and other third parties.
Third parties provide services under their own terms and remain responsible for their own acts, reports, systems, availability and privacy practices. A link or introduction is not an endorsement or guarantee.
13. Intellectual Property
The website design, original text, branding, logos, graphics and other original materials are protected by applicable intellectual-property rights.
You may view and share ordinary webpage links for lawful purposes. You may not reproduce substantial website content, remove branding, create a misleading copy, resell content or imply affiliation without written permission.
14. Privacy and Data Protection
Our Privacy Policy explains how personal information is handled. By submitting information, you confirm that you have read the policy and have authority to provide information about yourself or another person.
Marketplace information intended for publication may become publicly visible and searchable. Do not submit identity documents, precise secure locations or bank details for public display.
15. Disclaimers
To the extent permitted by applicable law, the website and its general content are provided on an “as available” basis. We do not warrant uninterrupted access, complete accuracy, buyer interest, seller performance, project profitability or successful completion of a transaction.
Nothing on the website guarantees mineral identity, grade, purity, quantity, lawful title, licence validity, source, price, delivery, export approval or investment return.
Nothing in these Terms excludes a responsibility or right that cannot lawfully be excluded.
16. Limitation of Liability
To the fullest extent permitted by law, Mineral Dealers Africa is not liable for indirect, incidental, special or consequential loss arising from reliance on a listing, third-party act, market movement, failed negotiation, unavailable website or unauthorised user conduct.
Where liability cannot be excluded, it will be determined according to applicable law and any specific written service agreement. Users should obtain insurance and professional advice appropriate to the value and risk of their transaction.
17. Your Responsibility and Indemnity
To the extent permitted by law, you are responsible for claims, loss or cost arising from your unlawful use of the website, false content, lack of authority, infringement of rights, fraud, prohibited listing or breach of these Terms.
This section does not require you to indemnify Mineral Dealers Africa for liability that cannot lawfully be shifted to you.
18. Suspension, Removal and Termination
We may restrict access, remove content, suspend a listing or terminate website use where we reasonably suspect fraud, legal risk, security abuse, inaccurate information, expired availability, prohibited conduct or breach of these Terms.
Sections intended to survive termination—including intellectual property, disclaimers, liability, records, disputes and applicable law—continue where appropriate.
19. Governing Law and Disputes
These website Terms are governed by the laws of Uganda, subject to any mandatory law that applies to a particular user or transaction.
Contact us first and provide enough information for a good-faith attempt to resolve the dispute. Transaction-specific agreements may contain their own negotiation, mediation, arbitration, court or governing-law provisions.
20. Changes and Contact
We may update these Terms when website features, marketplace rules, services or legal requirements change. The revised version will show a new effective date.
